By accessing or using RepsRecord ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service.
RepsRecord is a subscription-based software application that helps real estate investors and property owners track hours for purposes of qualifying under Internal Revenue Code (IRC) §469 Real Estate Professional Status (REPS) and the Short-Term Rental (STR) material participation exception. The content, reports, and information provided by RepsRecord are for general informational and documentation purposes only. Nothing in the Service constitutes legal, tax, accounting, or financial advice. RepsRecord does not guarantee that use of the Service will result in qualification for REPS status, STR material participation, or any particular tax treatment.
You are solely responsible for your tax filings and for consulting qualified professionals. RepsRecord and its creators are not liable for any tax penalties, assessments, or adverse outcomes resulting from your use of the Service.
RepsRecord offers a 7-day free trial. A valid credit card is required to begin your trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and your card will be charged.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods. To cancel, contact us at support@repsrecord.com.
We reserve the right to change subscription pricing. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.

You retain ownership of all data you input into RepsRecord. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

If your subscription lapses or is cancelled, your data will be retained for 90 days. After 90 days, your data may be permanently deleted. We recommend exporting your audit report before cancelling.
RepsRecord and all associated content, features, and functionality are owned by RepsRecord and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, REPSRECORD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR ANY TAX-RELATED PENALTIES OR ASSESSMENTS, ARISING FROM YOUR USE OF THE SERVICE.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Georgia, and you consent to personal jurisdiction in such courts.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of RepsRecord shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Georgia. You waive any right to participate in a class action lawsuit or class-wide arbitration.
RepsRecord shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet outages, third-party service failures, acts of government, or other circumstances outside our control.
RepsRecord respects intellectual property rights. If you believe content uploaded to the Service infringes your copyright, please contact us at support@repsrecord.com with: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material; (3) your contact information; and (4) a statement that you have a good faith belief the use is unauthorized. We will respond promptly to valid DMCA takedown notices.
